Cap table imports report your real headroom to issue new shares
When you migrate a cap table from Carta, we no longer guess your authorized share count from the shares in the file.

When you migrate a cap table from Carta, we no longer guess your authorized share count from the shares in the file. Previously the import set authorized shares equal to the shares it found, which made it look like your company had no room left to issue anything, a number you might rely on for a board consent or an option pool top-up. The review step now shows the count as not provided and asks you to enter it from your incorporation documents, in your own language.
